Welcome to our online platform and services provided by RemoteGenies, a subsidiary of DSV Digital Management Corporation (“RemoteGenies,” “we,” or “us“). This page outlines the terms and conditions governing your use of our online services and the website associated with our Service (collectively, the “Service“). By accessing or using the Service, or by clicking a button or checking a box indicating your agreement, you signify that you have read, understood, and agree to be bound by these Terms of Service (this “Agreement“), regardless of whether you are a registered user of our Service. Users of our Service must also agree to our Acceptable Use Policy. RemoteGenies reserves the right to modify these terms and will provide notice of any changes as described below. This Agreement applies to all visitors, users, and others who access the Service (“Users“). RemoteGenies aims to make its website and mobile app accessible to all individuals in compliance with the standards set by the World Wide Web Consortium and applicable law. PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION PROVISION IN SECTION 10.2 (THE “ARBITRATION AGREEMENT”) AND CLASS ACTION/JURY TRIAL WAIVER PROVISION IN SECTION 10.3 (THE “CLASS ACTION/JURY TRIAL WAIVER”) THAT REQUIRE, UNLESS YOU OPT OUT PURSUANT TO THE INSTRUCTIONS IN SECTION 10.2, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES BETWEEN YOU AND US, INCLUDING ANY CLAIMS THAT AROSE OR WERE ASSERTED BEFORE YOU AGREED TO THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU EXPRESSLY WAIVE YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON YOUR CLAIMS, AS WELL AS YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

Our Service

1. RemoteGenies provides a platform that allows users of the RemoteGenies Service to schedule and arrange the fulfillment of various services (“Requests”) through providers of such services (“Assistants”). RemoteGenies strives to ensure that its website is accessible to all individuals interested in its Service and in compliance with the standards established by the World Wide Web Consortium and applicable law. 1.1 Eligibility

This is a legal agreement between you and RemoteGenies. Before using the RemoteGenies Service, you must read and agree to these terms. If you do not agree, you may not use the Service. You may use the Service only if you can enter into a legally binding contract with RemoteGenies and comply with this Agreement and all applicable laws, rules, and regulations. The Service is not available to individuals under the age of 13 (or under 16 in Europe) and is strictly prohibited for such individuals. The Service is also not available to Users who have been previously removed from the Service by RemoteGenies. Certain Requests may not be available for users under 18 or 21 years of age, as applicable. In certain instances, RemoteGenies may require you to provide proof of identity to create your account or to access or use the Service. You acknowledge and agree that you may be denied access to or use of the Service if you refuse to provide such proof.

1.2 Limited License

Subject to the terms and conditions of this Agreement, you are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service as permitted by its features. RemoteGenies reserves all rights not expressly granted herein in the Service and the content provided by RemoteGenies (the “RemoteGenies Content”). RemoteGenies may terminate this license at any time for any reason or no reason.

1.3 User Accounts

Your User Account on the Service grants you access to the features and services that we establish and maintain at our sole discretion. Different types of User Accounts may be available for different types of Users. If you create a User Account on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind the entity to this Agreement and agree to this Agreement on the entity’s behalf. By connecting to RemoteGenies with a third-party service, you grant us permission to access and use your information from that service as permitted by that service, and to store your login credentials for that service. You must not use another User’s User Account without permission. When creating your User Account, you must provide accurate and complete information and keep it up to date. Failure to maintain accurate and complete account information may result in the inability to access and use the Service or termination of this Agreement by RemoteGenies. You are solely responsible for the activity that occurs on your User Account and must keep your User Account password secure. Please use strong passwords (combinations of upper and lowercase letters, numbers, and symbols) for your User Account. You must promptly notify RemoteGenies of any security breach or unauthorized use of your User Account. RemoteGenies will not be liable for any losses caused by unauthorized use of your User Account. By providing RemoteGenies with your email address, you consent to receiving Service-related notices via email, including any notices required by law, instead of communication by postal mail. We may also send you other messages, such as updates to the Service features and special offers, to the email address provided. If you do not wish to receive such messages, you may opt out by emailing us at help@RemoteGenies.com. Please note that opting out may prevent you from receiving email messages regarding updates, improvements, or offers.

1.4 Service Rules

You agree not to engage in any prohibited activities, including but not limited to: copying, distributing, or disclosing any part of the Service without authorization; using automated systems to access the Service in a manner that exceeds normal human usage; transmitting spam or unsolicited messages; attempting to compromise the integrity or security of the Service; taking actions that impose an unreasonable or disproportionately large load on the infrastructure; uploading viruses or other harmful software; collecting personally identifiable information from the Service; using the Service for commercial solicitation purposes; impersonating another person or entity; interfering with the proper functioning of the Service; accessing content on the Service through unauthorized means; or bypassing measures implemented to prevent or restrict access to the Service. Any violation of these rules may result in the termination of your access to the Service.

1.5 Changes to the Service

RemoteGenies may change, modify, or discontinue the Service, or any features thereof, at any time and without prior notice. We may also establish usage limits for the Service or terminate or suspend your access to the Service without notice and without liability for any reason, including for violations of this Agreement. Your continued use of the Service after such changes constitutes your acceptance of the modified terms.

1.6 Disputes with Other Users

You are solely responsible for your interactions with other Users. RemoteGenies reserves the right, but has no obligation, to monitor disputes between you and other Users. RemoteGenies shall not be liable for any interactions with other Users or for the actions or inactions of any User.

1.7 Service Contracts and Direct Contracts

At RemoteGenies, Users are responsible for evaluating and entering into agreements with other Users, determining the terms of those agreements. It is important to note that Service Contracts establish a direct relationship between Clients and Freelancers, and RemoteGenies is not a party to such contracts.

Users have the flexibility to include additional agreements in their Service Contracts, as long as they do not conflict with RemoteGenies’ rights and obligations outlined in the Terms of Service. Optional Service Contract Terms are available for adoption, but Users should consider their applicability and seek legal advice if needed.

By following these guidelines, RemoteGenies promotes transparency and legal compliance in our community.

1.8 Exclusive Use of RemoteGenies for Payments

To ensure transparency and maintain the integrity of the RemoteGenies platform, you agree to utilize RemoteGenies as the sole method for making payments related to work originating from your RemoteGenies relationships. This requirement applies for a period of two years from the start of the relationship. Kindly note that a fee will be charged if you opt to conduct the relationship outside of the platform during this period.

1.9 Communication through RemoteGenies

Effective communication is vital for successful collaboration. Therefore, prior to entering into a service contract, users on RemoteGenies must exclusively communicate through our platform. Sharing direct contact information or attempting to communicate outside of RemoteGenies’ designated communication services is strictly prohibited.

Any violation of these sections constitutes a material breach of our Terms of Service and may result in the permanent suspension of your account.

2. Our Proprietary Rights

The Service and all materials, including software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music (the “RemoteGenies Content”), and all intellectual property rights related thereto, are the exclusive property of RemoteGenies and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to grant a license to any intellectual property rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from the RemoteGenies Content. Any use of the RemoteGenies Content for purposes not expressly permitted by this Agreement is strictly prohibited.

If you choose to submit comments or ideas about the Service (“Ideas”), you acknowledge that your disclosure is voluntary and without any expectation of compensation or obligation on RemoteGenies. You agree that RemoteGenies may freely use, disclose, or exploit the Ideas without any additional compensation to you and without any obligation to maintain the Ideas in confidence. You also acknowledge that RemoteGenies may have similar or related ideas already known or developed independently.

3. Paid Services

3.1 Billing Policies

Certain aspects of the Service may be provided for a fee or charge. If you choose to use paid aspects of the Service, you agree to our Pricing and Payment Terms, as updated from time to time. RemoteGenies may add new services or amend fees and charges for existing services at any time at its sole discretion.

3.2 No Refunds

You may cancel your User Account or any Requests at any time, but no refunds will be provided for cancellations. RemoteGenies reserves the right to provide refunds at its sole discretion.

3.3 Relationship with RemoteGenies

RemoteGenies serves as a platform for Users to connect and engage with each other. We are not directly involved in negotiations or the delivery of Freelancer Services. Users are responsible for their content and agreements with others.

3.4 Taxes and Benefits

Freelancers are responsible for taxes, insurance, and complying with applicable laws. RemoteGenies does not withhold taxes and does not provide insurance coverage for Freelancers.

3.5 Marketplace Feedback and User Content:

Users publish information and feedback on the site at their own risk. RemoteGenies is not responsible for such content. Users agree to the sharing of feedback and acknowledge RemoteGenies’ limited role in monitoring or censoring opinions.

3.6 Contractual Relationship Between Client and Freelancer:

Users are responsible for entering into agreements with each other. RemoteGenies is not a party to these contracts and does not supervise their performance.

You agree not to directly or indirectly solicit Assistants, induce them to terminate their relationship with RemoteGenies, or employ or engage Assistants as independent contractors without the express prior written consent of RemoteGenies. RemoteGenies may grant such consent upon your payment of a fee of no less than Three Thousand U.S. Dollars ($3,000.00) per Assistant within ten (10) days of notifying RemoteGenies of your desire to solicit an Assistant or the actual hiring or engagement of such Assistant by you. This provision survives the termination or expiration of this Agreement.

3.7 Free Trials

RemoteGenies may offer free trials for specific services. If you participate in a free trial, you will be automatically billed on the day your free trial ends or the day you start your paid service, and on each recurring billing date thereafter, subject to Section 3.8. You will not receive notice of the end of your free trial or the commencement of payment for the paid service. To avoid charges, you must cancel your paid service before midnight Pacific Time on the last day of your free trial. Cancellation during a free trial may be effective immediately.

3.8 Automatic Renewal of Service Fees

If you sign up for a paid service, the corresponding fees will automatically renew on a continuous basis at the rate and frequency specified in your User Account and/or as otherwise set by RemoteGenies. You must notify RemoteGenies in writing at support@remotegenies.com if you want to cancel a paid service. Notice of cancellation must be provided on your settings page or in writing and will be effective from the billing period following the period in which you provide notice. Unless you provide notice of cancellation, RemoteGenies or its authorized third-party payment provider will automatically charge you the applicable service fees and any taxes using the payment method associated with your User Account.

3.9 Payment Information and Taxes

All payment information you provide in connection with a purchase or transaction must be accurate, complete, and current. You are responsible for all charges incurred using your credit card, debit card, or other payment method. You will also be responsible for any applicable taxes related to purchases or transactions.

3.10 California Residents

RemoteGenies, a subsidiary of DSV Digital Management Corporation, provides the Service. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs. 4. No Professional Advice

Any information provided through the Service is for informational purposes only and should not be considered professional advice. You should not take any action based on the information provided. For professional advice, consult with a licensed and qualified individual in the respective field.

5. Security

RemoteGenies prioritizes the security and integrity of your personal information. However, we cannot guarantee that unauthorized third parties will not be able to defeat our security measures or misuse your personal information. You acknowledge that you provide your personal information at your own risk.

6. Third-Party Links and Information

The Service may contain links to third-party materials that are not owned or controlled by RemoteGenies. RemoteGenies does not endorse or assume any responsibility for any third-party websites, information, materials, products, or services. If you access third-party websites or services from the Service or share content on or through them, you do so at your own risk. This Agreement and RemoteGenies’ Privacy Policy do not apply to your use of such third-party sites. RemoteGenies is not liable for any loss or damage resulting from your use of any third-party website, service, or content, including content submitted by other Users. Your interactions with advertisers on the Service, including payment and delivery of goods, are solely between you and the advertisers. RemoteGenies is not responsible for any loss or damage arising from such interactions.

7. Indemnity

You agree to defend, indemnify, and hold harmless RemoteGenies, its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debts, including attorney’s fees, arising from: your use of the Service, including any data or content transmitted or received by you; your violation of any term of this Agreement, including your breach of any representations and warranties; your violation of any third-party rights, including privacy or intellectual property rights; your violation of any applicable law, rule, or regulation; any content submitted via your User Account, including misleading or false information; your willful misconduct; or any other party’s access and use of the Service using your username, password, or security code.

8. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM REMOTEGENIES OR THROUGH THE SERVICE, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. REMOTEGENIES, ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE, OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED, OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; THAT REQUESTS WILL BE MET SATISFACTORILY OR AT ALL; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA RESULTING FROM SUCH DOWNLOAD OR USE OF THE SERVICE.

REMOTEGENIES DOES NOT GUARANTEE THE SUITABILITY, SAFETY, OR ABILITY OF ANY ASSISTANT, NOR THAT ANY ASSISTANT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

FURTHERMORE, REMOTEGENIES DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY THIRD PARTIES THROUGH THE SERVICE OR ANY LINKED WEBSITE OR SERVICE. REMOTEGENIES WILL NOT BE A PARTY TO OR MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RemoteGenies, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. UNDER NO CIRCUMSTANCES SHALL RemoteGenies BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE, YOUR USER ACCOUNT, OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RemoteGenies ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF REQUESTS OR CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND ANY PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT; (VII) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY; AND/OR (VIII) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY ASSISTANT. IN NO EVENT SHALL RemoteGenies, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO RemoteGenies HEREUNDER OR $100.00, WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF RemoteGenies HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

WITHOUT LIMITING THE FOREGOING, REMOTEGENIES DOES NOT WARRANT OR GUARANTEE THAT ASSISTANTS ARE TRAINED WITH ANY SPECIFIC SKILLS. YOU ACKNOWLEDGE AND AGREE THAT MANAGEMENT OF ASSISTANTS IN PERFORMANCE OF REQUESTS IS YOUR SOLE RESPONSIBILITY AS A USER, AND RemoteGenies IS NOT LIABLE FOR, AND EXPRESSLY DISCLAIMS ALL LIABILITY RELATING TO, ANY ACTS OR OMISSIONS OF ASSISTANTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS AGREEMENT GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS AGREEMENT WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

10. General

10.1 Governing Law

This Agreement and any dispute arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of RemoteGenies, without regard to its conflict of laws provisions.This Agreement shall be governed by and construed in accordance with the laws of The Republic of the Philippines.

10.2 Dispute Resolution and Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this Agreement to arbitrate, shall be determined by arbitration in the jurisdiction of incorporation of RemoteGenies before a single arbitrator. The arbitration shall be administered by the Philippine International Center for Conflict Resolution (PICCR) in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes, if applicable. The arbitrator’s award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, the parties waive any right to a jury trial. This arbitration provision shall survive the termination of this Agreement.

10.3 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10.4 Entire Agreement

This Agreement, together with our Privacy Policy and any other terms or agreements incorporated by reference, constitute the entire agreement between you and RemoteGenies regarding the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral

10.5 Notices

Any notices or other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been received if delivered personally or sent by registered mail, postage prepaid, or by recognized overnight courier to the address specified in the User Account or the most recent address provided by a party in writing.

10.6 Waiver

The failure of RemoteGenies to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

10.7 Assignment

You may not assign or transfer this Agreement or any rights or obligations herein without the prior written consent of RemoteGenies. RemoteGenies may freely assign or transfer this Agreement without restriction.

1. Licensing and Third-Party Content

1.2 Termination of Services

Terms and Conditions For Our Pricing

1. Billing Cycle

The billing cycle for RemoteGenies pricing plans begins on the date of signup and renews automatically on a monthly basis, unless otherwise specified.

2. Payment Terms:

All payments for RemoteGenies services are due in advance and should be made according to the pricing plan selected. Payment can be made via the available payment methods provided on our platform.

3. Pricing Changes:

RemoteGenies reserves the right to modify the pricing of its services at any time. However, existing customers will be notified in advance of any pricing changes that may affect their subscription plans. Changes in pricing will not apply until the next billing cycle.

4. Cancellation and Refunds:

Customers have the option to cancel their subscriptions at any time. However, no refunds or prorated reimbursements will be provided for the unused portion of the subscription term. Cancellation requests should be submitted through the platform or by contacting our support team.

5. Hour Credit Expiry (Timestack – One Time Purchase/Pay-As-You-Go):

For one-time purchases of hour credits (Timestack-One Time Purchase/Pay-As-You-Go), the credits expire monthly at the end of the billing cycle. Any unused hour credits will be forfeited upon expiration.

6. Hour Credit Rollover (Subscription Plans)

Monthly:

For customers on the monthly subscription plan, hour credits will roll over for a maximum of 4 months. This means that any unused hour credits will be carried forward to the following month, up to a maximum accumulation of 4 months’ worth of credits. After 4 months, any remaining unused hour credits will be forfeited.

Annually:

For customers on an annual subscription plan, hour credits will roll over for a maximum of 6 months. This means that any unused hour credits will be carried forward to the following month, up to a maximum accumulation of 6 months’ worth of credits. After 6 months, any remaining unused hour credits will be forfeited.

7. Taxes and Fees:

The pricing displayed on RemoteGenies does not include any applicable taxes or fees unless explicitly stated. Customers are responsible for paying any relevant taxes or fees imposed by local authorities or financial institutions.

8. Account Suspension:

RemoteGenies reserves the right to suspend or terminate accounts in case of non-payment or violation of our terms of service. Suspension of an account may result in temporary or permanent loss of access to the platform and its associated services.

9. Data Security:

RemoteGenies takes data security seriously and implements industry-standard measures to protect customer information. However, customers are responsible for maintaining the security and confidentiality of their own account login credentials.

10. Limitation of Liability:

RemoteGenies shall not be held liable for any direct, indirect, incidental, consequential, or exemplary damages arising from the use or inability to use our services, including any interruptions or disruptions to the platform.

11. Modifications to Terms:

Terms and Conditions For Our Prepaid Services Payment Agreement for RemoteGenies

This Prepaid Services Payment Agreement (“Agreement”) applies when a Client makes a prepayment or subscribes on a monthly basis for services provided by a Genie (Freelancer) via RemoteGenies. Please read and understand this Agreement carefully.

We may modify this Agreement to the extent permitted by applicable law, without prior notice to you. Any revisions will take effect when posted on the Site unless otherwise stated. Please frequently visit the Site for updates.

This Agreement incorporates by reference the Terms of Service. Capitalized terms not defined in this Agreement are defined in the User Agreement, in the Terms of Service, or have the meanings given such terms on the Site.

1. DIGITAL SIGNATURE

By clicking to make a prepayment or subscribe to a monthly package, the Client is deemed to have executed this Agreement electronically, effective on the date the Client clicks to make the prepayment or subscribe, in accordance with the E-Sign Act. This constitutes an acknowledgment that the Client agrees to conduct the transaction electronically and can electronically receive, download, and print this Agreement.

2. PREPAYMENT OR SUBSCRIPTION PROCESS

2.1 EXPENSE PREPAYMENT OR SUBSCRIPTION

Before any work is performed by a Genie, the Client is required to prepay for anticipated services or subscribe to either a monthly or annual package through RemoteGenies. The amount of the prepayment or subscription should cover the costs of the services that are expected to be rendered during the course of the project.

2.2 REMOTEGENIES’ ROLE

The Client makes the prepayment or subscription payment to RemoteGenies. RemoteGenies, in turn, is responsible for paying the Genie for the services rendered to the Client. RemoteGenies acts as the intermediary, ensuring smooth and transparent transactions between the Client and the Genie.

2.3 PAYMENT TO GENIES

RemoteGenies receives the prepayment or subscription funds from the Client and then disburses them to the Freelancer upon completion of the work, as per the agreed terms. The Genies are thus paid for their services directly by RemoteGenies, streamlining the payment process and ensuring a secure and efficient transaction.

2.4 NO EXPENSE REPORTING REQUIRED

In this agreement, Genies are not required to provide a report of expenses. The prepayment or subscription made by the Client is for the service to be rendered by the Genie. Any disputes or disagreements related to the quality of service must be handled in accordance with RemoteGenies’ dispute resolution process.
